Associate General Counsel – Corporate Governance & Strategic Transactions

Webflow is seeking an experienced Associate General Counsel to lead its corporate legal function and support the company’s continued growth. This remote U.S. leadership position focuses on corporate governance, strategic transactions, public company readiness, securities compliance, and building scalable legal operations.

Reporting directly to the Chief Legal Officer, you will partner with executive leadership while balancing legal risk management with practical business decision-making. The role combines strategic legal leadership with hands-on responsibility across governance, mergers and acquisitions, equity administration, securities compliance, and legal operations.

Job Overview

The Associate General Counsel will oversee Webflow’s corporate legal function while supporting rapid organizational growth and long-term corporate maturity. This position leads governance initiatives, corporate transactions, legal support for acquisitions, equity administration, employment matters, litigation oversight, and preparations for future public company requirements.

You will also build scalable legal processes, manage outside counsel relationships, and lead the development of a growing corporate legal team.

Key Responsibilities

  • Manage board of directors and committee governance processes.
  • Prepare board meeting materials, maintain corporate records, and oversee meeting minutes.
  • Advise leadership on corporate governance best practices.
  • Oversee legal management of the company’s corporate entities and subsidiaries.
  • Maintain compliance across multiple jurisdictions.
  • Lead legal support for equity plan administration.
  • Partner with People Operations and Total Rewards on equity programs and compliance requirements.
  • Direct legal due diligence for mergers and acquisitions.
  • Negotiate acquisition agreements and manage legal integration activities following completed transactions.
  • Draft and negotiate financing agreements, commercial contracts, and other strategic corporate transactions.
  • Lead Webflow’s public company readiness initiatives.
  • Coordinate due diligence efforts with external legal advisors.
  • Oversee internal employment law matters.
  • Manage litigation activities and outside legal counsel when required.
  • Develop securities law compliance programs and insider trading policies.
  • Establish SOX compliance frameworks, internal controls, disclosure procedures, and certification processes as applicable.
  • Build and lead the corporate legal team.
  • Develop scalable legal operations and improve corporate legal processes.
  • Manage relationships with external law firms and legal service providers.

Required Qualifications

  • Juris Doctor (JD) degree.
  • At least one active bar membership.
  • Minimum of 120 months of relevant legal experience.
  • Experience at a nationally recognized law firm.
  • Experience supporting late-stage private companies and preferably public companies.
  • Extensive knowledge of securities law.
  • Experience with corporate governance.
  • Experience managing mergers and acquisitions.
  • Knowledge of SEC reporting requirements.
  • Experience with Sarbanes-Oxley (SOX) compliance.
  • Experience preparing organizations for public company operations or managing ongoing public company compliance.

Work Arrangement

Compensation

Compensation is determined according to geographic market and candidate qualifications.

  • Zone A: $240,000 – $300,000 annually.
  • Zone B: $225,000 – $282,000 annually.
  • Zone C: $211,000 – $264,000 annually.

Eligible employees also participate in Webflow’s company-wide bonus program. Permanent employees receive Restricted Stock Units (RSUs) as part of the total compensation package.
