Key Responsibilities:

Chief General Counsel (CGC):

  • Manage Corporate Affairs, Legal Affairs, and Regulatory Matters.
  • Provide legal support to the Board of Directors and Senior Management.
  • Lead legal services for smooth and timely delivery to stakeholders.
  • Draft agreements (employment, vendor), maintain legal document knowledge.
  • Conduct legal research, review litigation strategies.
  • Safeguard State Life’s legal interests.
  • Liaise with legal advisors.

Board Secretary (Company Secretary) (BSD):

  • Manage Board and Committee activities according to regulations.
  • Prepare Board agendas, minutes, and board papers for Board members.
  • Ensure recording of Board proceedings and implement minutes.
  • Oversee internal, external, and regulatory compliance.
  • Provide legal, financial, and strategic advice in and outside meetings.
  • Ensure adherence to SECP filing requirements.
  • Monitor regulatory changes and update departments.
  • Liaise with regulatory bodies and submit required reports.
  • Communicate with Directors and the Government.
